With a view to eliminate any possible
conflict of interest with our clients, we strictly observe
the following ethical rules.

| I Fixed
fees: |
Suitable
candidates asking for a remuneration lower than the targeted
package agreed with our client will be presented to our client
just as other suitable candidates.
In the same way, we will not hesitate to recommend candidates
insisting on a higher remuneration, if we consider that they
fit the required profile, this of course in the interest of
our client and not for the purpose of artificially inflating
our fees. |
| II -A commitment
to confidentiality: |
| We hold
in strict confidence all information concerning our client's
projects and private information, before and after we are
entrusted with the mandate. In the course of the assignment,
we may refuse to disclose the name of our client, if he so
desires, although this may not be the best way to conduct
a fully satisfactory search. |
| III -A co-operation
commitment of at least two years (" off limit period
"): |
| We undertake
not to approach candidates belonging to our client's staff
for a duration of 2 years after the date of our latest assignment. |
| IV -A 6
month guaranty period |
| If, during
that period, our client decides to terminate the employment
of the selected candidate, we undertake to search for another
candidate without additional fees. |
